Terms & Conditions of Sale – LifeSync Surgicals

1.Definitions

In these Terms & Conditions:

1.1 “Supplier” means LifeSync Surgicals.

1.2 “Buyer” means any person, business, clinic, hospital or entity that purchases goods from the Supplier.

1.3 “Goods” means surgical instruments, devices, disposables and related products supplied by the Supplier.

1.4 “Contract” means any agreement between Supplier and Buyer incorporating these Terms & Conditions.

2. Application

2.1 These Terms & Conditions apply to all sales and deliveries of Goods by the Supplier to the Buyer.

2.2 These Terms override any purchase terms proposed by the Buyer unless expressly agreed in writing.

3. Orders and Acceptance

3.1 Orders must be placed in writing; acceptance is subject to Supplier’s acceptance.

3.2 The Supplier may decline or cancel orders at its discretion.

4. Price and Payment

4.1 Prices are in United States Dollars (USD) or as agreed and exclude taxes, duties and shipping.

4.2 Payment terms: [e.g., 30 days from invoice] unless otherwise agreed in writing.

4.3 Late payments may incur interest at [state rate] per month.

5. Delivery

5.1 Delivery of Goods shall be made to the location specified in the order.

5.2 Risk of loss passes to Buyer upon delivery or pickup.

5.3 Delivery times are estimates and not guaranteed.

6. Inspection and Acceptance

6.1 Buyer must inspect Goods upon delivery.

6.2 Claims for defects must be made in writing within 7 days.

6.3 Goods accepted without claim are deemed conforming.

7. Warranty

7.1 Supplier warrants Goods conform to manufacturer specifications.

7.2 No warranty applies if Goods are misused, altered, or not stored properly.

7.3 Except as expressly stated, no other warranties are given (including implied warranties of merchantability or fitness).

8. Limitation of Liability

8.1 Supplier’s liability is limited to the invoice value of the Goods supplied.

8.2 Supplier is not liable for indirect or consequential losses.

8.3 Nothing limits liability for death or personal injury due to Supplier’s negligence.

9. Compliance

9.1 Buyer is responsible for all licenses, permits and compliance with local medical device regulations, including importation and storage according to Zimbabwe law and Medicines Control Authority requirements.

9.2 Supplier may require proof of Buyer’s licensing before fulfilling orders.

10. Force Majeure

Supplier is not liable for failure or delay in performance due to events beyond reasonable control (e.g., natural disasters, pandemics, regulatory changes, transport disruptions).

11. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of Zimbabwe. Any disputes arising under this agreement shall be resolved in the courts of Zimbabwe. 

12. Notice

Any notice under this Contract must be in writing and sent to the addresses listed above.

13. Severability

If any provision is unenforceable, the remainder will remain valid.

14. Entire Agreement

This document constitutes the entire agreement between the parties.
